Terms of Service

1.This agreement
These terms are between you — or the company you represent — and UgenticAI, Inc., which operates EventIQ. By creating an account or using the service, you accept them. If you’re agreeing on behalf of a company, you confirm you’re allowed to bind it.
Our Privacy Policy forms part of this agreement.
2.Your account
Give us accurate details and keep them current. You’re responsible for what happens under your account, including anything your team members do, so keep your password to yourself and tell us promptly if you think someone else has got in.
You must be at least 18 and legally able to enter a contract.
3.Plans, payment and renewal
Subscriptions are monthly and priced as follows:
- Starter — $95 per month, 500 registrants/mo.
- Growth — $197 per month, 5,000 registrants/mo.
- Scale — $397 per month, unlimited registrants.
Your plan renews automatically each monthuntil you cancel, and we charge the card on file on the same day of each billing cycle. Prices exclude any tax we’re required to add.
Cancellingtakes effect at the end of the period you’ve already paid for — you keep access until then, and we don’t pro-rate part-months. If a payment fails we may retry it and suspend the account until it clears.
Refunds:monthly fees are non-refundable, except where the law says otherwise or where we’ve clearly got something wrong — in which case talk to us and we’ll sort it out fairly.
We may change prices with at least 30 days’ notice by email. The new price applies from your next billing date, and if you don’t want it, cancel before then.
4.Plan limits and fair use
Each plan includes a monthly registrant allowance. If you consistently exceed it, we’ll contact you about moving to a plan that fits rather than cutting you off without warning. We may apply technical limits to protect the service for everyone.
Some features depend on services you connect yourself — video streaming, SMS, WhatsApp and voicemail all carry costs charged by those providers. Those are yours to pay, separately from your EventIQ subscription.
5.Your content and your registrants
You own your content — your events, pages, templates, videos and registrant lists. We claim no ownership. You grant us only the permission we need to host, process and display it in order to run the service for you.
For the personal data of people who register for your events, you are the data controller and we are your processor. You decide what to collect and what to send; we act on your instructions. You are responsible for having a lawful basis to collect and use it, and for your own privacy notice.
6.Consent to contact people — read this one
EventIQ can send email, SMS, WhatsApp messages and ringless voicemail to the people on your lists. That reach is the point of the product, and it is also where the legal risk sits.
You are responsible for complying with the marketing and communication laws that apply to you and to the people you’re contacting — including CAN-SPAM, the Telephone Consumer Protection Act, GDPR, and the equivalents wherever your audience lives. Those laws carry per-message penalties and they land on the sender, which is you.
You must not remove or bypass the unsubscribe link in messages we send on your behalf. If we get credible reports of unsolicited messaging from your account, we may suspend sending immediately while we look into it, because one sender’s complaints affect delivery for every other customer.
7.Acceptable use
Don’t use EventIQ to:
- Break the law, or help anyone else to.
- Run deceptive events — fake scarcity, invented attendee counts, a recording presented as live when the audience is told it’s live, or offers you can’t honour.
- Send malware, phishing, or content that infringes someone else’s rights.
- Harass anyone, or publish hateful or unlawful material.
- Probe, overload or reverse-engineer the service, scrape it, or get round its limits and access controls.
- Resell or white-label the service without our written agreement.
8.Services you connect
When you connect Zoom, a CRM, a messaging provider or anything else, your use of that service is governed by youragreement with them, and you authorise us to exchange data with it on your behalf. We aren’t responsible for their availability, their pricing, or changes they make to their APIs — though we’ll do what we reasonably can to keep integrations working.
9.Availability and support
We work to keep EventIQavailable and quick, but we don’t commit to a guaranteed uptime percentage on these plans. Maintenance, provider outages and events outside our control can interrupt the service.

10.Our intellectual property
The software, design, branding and documentation are ours and stay ours. These terms give you a limited, non-exclusive, non-transferable right to use the service while your subscription is active — nothing more. If you send us feedback or ideas, we may use them freely and without obligation.
11.Suspension and closing your account
You can close your account at any time from your billing settings. We may suspend or close an account that breaches these terms, doesn’t pay, or puts the service or other customers at risk. Where circumstances allow, we’ll warn you first and give you a chance to put it right.
Export your data before you close the account.Registrant lists can be exported at any time while it’s open. After closure we delete your data on our normal schedule, and we can’t promise to recover it afterwards.
12.Disclaimers
The service is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t warrant that the service will be uninterrupted or error-free, and we make no promises about the commercial results you get from it — attendance, conversion and revenue depend on your offer and your audience.
13.Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data, however it arises.
Our total liability for any claim is capped at what you paid us in the 12 months before it arose. Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
14.Indemnity
You’ll cover us against claims, damages and reasonable legal costs arising from your content, your use of the service, your breach of these terms, or your messaging to your registrants — including claims that you contacted someone without the consent you promised in section 6.
15.Changes to these terms
We may update these terms as the product changes. For material changes we’ll email account holders at least 30 days beforehand. Continuing to use EventIQafter they take effect means you accept them; if you’d rather not, cancel before that date.
16.Governing law
These terms are governed by the laws of the State of Maryland, United States, and the courts there have exclusive jurisdiction over any dispute. Before filing anything, please contact us — nearly everything is quicker to fix by email.
If any provision turns out to be unenforceable, the rest stays in force. Our not enforcing something straight away isn’t a waiver of it.
